Terms and conditions for Airwall Teams

TL;DR EULA

We do our best to make sure Airwall Teams is magical and always available, but hey no guarantees given it’s free. Use it or lose it. Yep, we might turn off your access if you ghost us (or do crazy high bandwidth stuff with it). We don’t have access to or store your data. No, seriously, we don’t. Well, that’s the important stuff. We don’t love legalese any more than you do, but our attorneys insist so here is the full Airwall Teams Agreement.

TEMPERED AIRWALL TEAMS AGREEMENT TERMS AND CONDITIONS FOR AIRWALL TEAMS

Airwall Teams ("Product") is a web service that securely connects up to twenty-five (25) devices using the HIP protocol.

Airwall Teams is provided "as-is," "with all faults," and "as-available." Reports of issues found may not be addressed by customer support. We may change, terminate your access, or discontinue Airwall Teams at any time without notice. The Tempered Airwall Teams Agreement is between the entity you represent ("Customer"), or, if you do not designate an entity, you individually ("you" or "your"), and Tempered Networks ("Tempered", "we", "us", or "our").

If you are accepting on behalf of Customer, you represent and warrant that: (i) you have full legal authority to bind Customer to this Agreement; (ii) you have read and understand this Agreement; and (iii) you agree, on behalf of Customer, to this Agreement. If you do not have this legal authority, please do not click to accept. This Agreement governs Customer's access to and use of the Service.

1. Term

This Agreement is effective as of the date you click to accept the Agreement (the "Effective Date").

2. Definitions

  • 2.1. "Customer Data" means any data, information or material processed or stored by Customer in the Software.
  • 2.2. "End Users" means the Customer and all entities who operate the Product under this Agreement.

3. Right to Use

We grant you the right to access and use the Product as further described in this agreement. We reserve all other rights.

4. Acceptable Use

Accounts that use excessive bandwidth may be limited or terminated at any time and without notice. You may not reverse engineer, decompile, disassemble, or work around technical limitations in the Product, except to the extent that applicable law permits it despite these limitations. You may not disable, tamper with, or otherwise attempt to circumvent any mechanism that meters your use of the Product. You may not rent, lease, lend, resell, transfer, or sublicense, or otherwise redistribute the Product or any portion thereof to or for third parties.

5. Intellectual Property

Your rights to access the Product on any device do not give you any rights to implement Tempered intellectual property elsewhere.

6. End Users

You control access by End Users, and you are responsible for their use of the Product in accordance with this Agreement. For example, you will ensure End Users comply with the Acceptable Use Policy.

7. Customer Data

We do not have access to, nor do we store, Customer Data. You are solely responsible for the content and management of all Customer Data.

8. Data Location and Facilities

Our Product is hosted in North America based cloud services. We have implemented industry standard systems and procedures to (i) ensure the security and confidentiality of the Product and Customer Data, (ii) protect against anticipated threats or hazards to the security or integrity of Product and Customer Data, and (iii) protect against unauthorized access to or use of Product and Customer Data.

9. Termination: Inactivity

Tempered may terminate your access without notice to the Product after 14 days if you have not accessed the Product, or the Product has had no evidence of network activity. To prevent termination, contact Tempered Networks.

10. Representation

Both Tempered and you represent and warrant that: (a) it has full power and authority to enter into the Agreement; and (b) it will comply with all laws and regulations applicable to its provision, or use, of the Product, as applicable.

11. Warranty and Liability

Warranty is "as-is." Notwithstanding anything to the contrary in these Terms, Tempered has no obligation or liability for any claim of infringement that arises from use of Product by Customer or a third party.

12. Severability and Waiver

If any part of this agreement is held unenforceable, the rest remains in full force and effect. Failure to enforce any provision of this agreement will not constitute a waiver.

13. Applicable Law and Venue

This agreement is governed by State of Washington law, without regard to its conflict of laws principles, except that (i) if you are a U.S. Government entity, this agreement is governed by the laws of the United States, and (ii) if you are a state or local government entity in the United States, this agreement is governed by the laws of that state.

Any action to enforce this agreement must be brought in the State of Washington. This choice of jurisdiction does not prevent either party from seeking injunctive relief in any appropriate jurisdiction with respect to violation of intellectual property rights.

14. U.S. Export Jurisdiction

The Product is subject to U.S. export jurisdiction. You must comply with all applicable laws, including the U.S. Export Administration Regulations, the International Traffic in Arms Regulations, and end-user, end-use and destination restrictions issued by U.S. and other governments.

15. Entire Agreement

This agreement is the entire agreement concerning its subject matter and supersedes any prior or concurrent communications.
